These Terms of Service (“Terms”) govern your access to and use of the websites, platform, products, and services provided by HiperCrop Inc. (“HiperCrop”, “we”, “our”, or “us”). By creating an account or accessing any content, you agree to these Terms.

Eligibility

You must be legally capable of entering into contracts, comply with applicable securities regulations, and provide accurate information during onboarding. Certain offerings may only be available to accredited or institutional investors.

Account Responsibilities

• Maintain the confidentiality of your credentials and notify us of any unauthorized access.
• Provide updated KYC/AML documentation when requested.
• Refrain from using the platform for unlawful, abusive, or fraudulent activities.

Offering Materials

Investment opportunities are offered through regulated entities. Subscription agreements, private placement memoranda, and risk disclosures govern each transaction. You agree not to redistribute offering materials without prior consent.

Tokenized Securities

Tokens issued via the platform represent interests in special purpose vehicles or other structures. Transfers may be restricted by law, smart contract rules, lock-up periods, or platform policies.

Fees & Distributions

Management fees, performance allocations, servicing fees, and blockchain network costs are disclosed in the applicable offering documents. Distributions may be delivered in fiat or digital assets subject to jurisdictional constraints.

Risk Disclosure

All investments involve risk, including the potential loss of capital. See the Risk Factors section of each offering document for detailed information on market, operational, and regulatory risks.

Limitation of Liability

HiperCrop is not liable for indirect, incidental, or consequential damages arising from the use of the platform, except as required by law. Aggregate liability is limited to the amount paid to access the services in the preceding 12 months.

Termination

We may suspend or terminate access if you breach these Terms, violate regulations, or pose reputational risk. You may close your account by contacting support@hipercrop.com, subject to outstanding obligations.

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes will be resolved through binding arbitration in San Francisco, California, unless prohibited.
